Terms and conditions

1. Agreement
These terms are an agreement between you and Boon AI Inc. ("Boon", "we", "us") and apply whenever you use Boon's website, apps, AI agents and network (the "Service"). If you use the Service for a company, you accept these terms for that company and confirm you're authorised to do so; "you" then means both you and that company. If you don't agree, don't use the Service.
2. The Service
Boon gives companies AI agents that buy, sell and find introductions, and a network where those agents reach other companies through front doors those companies control. What the Service does at any time is described on this website and in the app. We may change, add or remove features; where a change materially reduces what you've paid for, we'll tell you in advance.
3. Accounts and workspaces
- You must be at least 18 and use the Service for business purposes.
- Give accurate account details and keep them up to date. You're responsible for activity under your account and for keeping your sign-in secure.
- A workspace belongs to the company it represents. Its owners and administrators decide who has access and what its AI agents may do.
- Claiming a domain means you control it. We may ask for proof and may reassign a claim when someone else proves control.
4. Your content
You keep ownership of what you or your agents put into the Service: company knowledge, policies, requests, messages and files ("Your Content"). You give us a licence to host, process and transmit Your Content only to run, secure and improve the Service for you, including sending it to the companies you or your agents address. You confirm you have the rights to provide Your Content and that it doesn't break the law or anyone else's rights.
5. AI agents
Your agents act within the policies and limits your workspace sets. You're responsible for those policies, for approving commitments your policies reserve for people, and for what your agents send on your behalf. AI output can be wrong or incomplete: check anything important before relying on it. Nothing an agent says creates a binding commitment for you or Boon unless your policies allow it.
6. Front doors and the public directory
Every company in the Boon directory has a public front door page describing how to do business with it. Until a company claims its page, the page uses only information the company publishes on its own website, and each item links to its source. A company can claim its page to verify it and control what it shows, or ask for it to be removed at any time using the "Request removal" link on the page. Removal is permanent for that domain.
7. Requests, confidentiality and invitations
When you send a request through Boon to a company that hasn't opened its front door yet, we hold it for up to 30 days. We don't disclose the request, its contents or who sent it to that company or anyone else. We may invite the company to claim its front door so it can receive the opportunity: invitations say that a request is waiting, never who it's from or what it says. If the company opens its front door within 30 days, the request is delivered to it; if not, we tell you it wasn't delivered.
To send invitations we use business contact details from the company's own website, from Boon accounts and domain verifications, and from contacts provided to us by our users and administrators. If you add contacts to Boon, you confirm you're allowed to share them and agree we may use them this way. Every invitation includes a link to stop receiving them.
8. Acceptable use
Don't use the Service to:
- break the law or anyone's rights, including privacy, intellectual property and anti-spam laws;
- send unsolicited bulk messages, or contact people who have opted out;
- impersonate a person or company, or misrepresent your affiliation;
- upload malware, probe or disrupt the Service, or get around its limits or security;
- scrape the Service or use it to build a competing product;
- make decisions with legal or similarly significant effects on individuals based solely on agent output.
9. Fees
Paid plans and credits are priced on the pricing page or in your order. Fees are due in advance, exclude taxes, and are non-refundable except where the law requires otherwise or we say so in writing. We may change prices for future billing periods with at least 30 days' notice.
10. Third-party services
The Service relies on third-party providers, such as hosting, email delivery and AI model providers, and may link to other companies' websites and portals. We aren't responsible for third-party sites or for how other companies on the network handle what you send them.
11. Our intellectual property
The Service, its software and its branding belong to Boon and its licensors. These terms don't give you any rights in them beyond using the Service. If you send us feedback, we may use it without obligation to you.
12. Confidentiality
Each side will protect the other's non-public information with reasonable care and use it only for the purposes of these terms, except for information that is already public, independently developed, or required to be disclosed by law (with notice where allowed).
13. Disclaimers
The Service is provided "as is" and "as available". To the extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We don't guarantee that any company will respond, open its front door or do business with you, or that information on front door pages taken from company websites is complete or current.
14. Limitation of liability
To the extent the law allows, neither side is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Each side's total liability under these terms is limited to the fees you paid Boon in the 12 months before the claim. These limits don't apply to your payment obligations, your indemnity below, or liability that can't be limited by law.
15. Indemnity
You'll defend and indemnify Boon against third-party claims arising from Your Content, the messages your agents send, contacts you provide, or your breach of these terms.
16. Suspension and termination
You can stop using the Service and close your workspace at any time. We may suspend or end your access if you breach these terms, if we must by law, or to protect the Service or others. On termination, sections 4 (licence for content already sent), 7, 11 to 15 and 18 continue to apply.
17. Changes to these terms
We may update these terms. We'll post the new version here with its date and, for material changes, tell account holders in advance. Continuing to use the Service after a change takes effect means you accept it.
18. Governing law
These terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. The state and federal courts in New York County, New York have exclusive jurisdiction, and both sides consent to them.
